Terms of Service

1. Agreement to Terms

By accessing or using Miriad ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service. Miriad is operated by an individual developer ("we", "us", "our") and is not a registered business entity.

2. Description of Service

Miriad is a web-based daily note-taking application. It provides text editing, task management, cloud synchronization, and data export features. The Service is offered as-is and may change at any time.

3. Accounts

You must provide a valid email address to create an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must be at least 13 years of age to use the Service.

4. Subscriptions and Payment

Miriad offers a subscription plan at $5 per month. Subscriptions are billed monthly and auto-renew until canceled. All payments are processed by Stripe. We do not store your credit card information. You may cancel your subscription at any time through the billing portal accessible within the app. Upon cancellation, you retain access until the end of your current billing period. No refunds are provided for partial billing periods. We reserve the right to change pricing with 30 days notice to active subscribers.

5. Free Trial

New accounts receive a 14-day free trial with full access to all features. No credit card is required for the trial. At the end of the trial period, a paid subscription is required to continue creating and editing notes. Existing notes remain accessible in read-only mode without a subscription.

6. Your Content

You retain full ownership of all notes, text, and other content you create using the Service ("Your Content"). We do not claim any intellectual property rights over Your Content. We access Your Content only as necessary to provide and maintain the Service (for example, storing it in our database and syncing it across your devices).

7. Acceptable Use

You agree not to use the Service to: store or distribute illegal content, attempt to gain unauthorized access to other users' data, interfere with or disrupt the Service or its infrastructure, use automated systems to access the Service in a manner that exceeds reasonable use, or violate any applicable laws or regulations.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE DO NOT WARRANT THAT ANY DATA STORED THROUGH THE SERVICE WILL BE PRESERVED, ACCURATE, OR AVAILABLE AT ANY TIME. YOU USE THE SERVICE ENTIRELY AT YOUR OWN RISK.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE), EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

10. No Guarantee of Availability or Data Preservation

Miriad is a hobby project maintained by an individual. We make no guarantees regarding uptime, data durability, backup frequency, or long-term availability of the Service. You are solely responsible for maintaining your own backups of any content you consider important. We strongly recommend using the export feature regularly. We shall not be liable for any loss of data for any reason, including but not limited to server failures, software bugs, security breaches, or discontinuation of the Service.

11. Service Modifications and Termination

We reserve the right to modify, suspend, or discontinue the Service (or any part of it) at any time, with or without notice. We may also terminate or suspend your account at our discretion if we believe you have violated these terms. Upon termination, your right to use the Service ceases immediately. We will make reasonable efforts to allow you to export your data before account termination, but are not obligated to do so.

12. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your violation of these terms, or your violation of any rights of a third party.

13. Changes to These Terms

We may update these Terms of Service at any time. The "Last updated" date at the top of this page will reflect the most recent revision. Continued use of the Service after changes are posted constitutes acceptance of the revised terms. For material changes, we will make reasonable efforts to notify active subscribers via email.

14. Governing Law

These terms shall be governed by and construed in accordance with the laws of the United States. Any disputes arising from these terms or the Service shall be resolved in the courts of the United States.

15. Severability

If any provision of these terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining terms remain in full force and effect.
